Zijn in 2000 ingehuurd door DexiaThe Franco-Belgian financial services group Dexia had decided to acquire the independent Dutch merchant bank Kempen & Co as part of a strategy to further develop its Investment Management Services. The acquisition would create value for Dexia's shareholders by meeting the changing needs of the group's target clients, underline its pan-European presence, and improve utilisation of its resources in the Netherlands following its recent integration with group company Labouchere. Based on the strength of our previous dealings with Dexia, we were appointed in the lead advisory role.
Dexia heeft op advies van PricewaterhouseCoopers aankoop gedaanThis was Dexia's first public takeover, so we guided the group through the de-listing process: acting as lead financial advisor, we advised on valuation aspects and key issues and managed the transaction, including the preparation of the offer document and the co-ordination of the due diligence. We also advised on the retention of Kempen's employees after the merger, which was for Dexia a key aspect in making this transaction a success. Due to the public nature of the deal and the need of both the buyer and seller to finalise it before the summer, the timeframe for the acquisition was very tight. We were able, however, to react quickly and meet all the deadlines, based on our good project management and close co-operation between all disciplines involved.
