This morning, VarTec Telecom, Inc. filed for Chapter 11 bankruptcy protection in U.S. Bankruptcy Court in Dallas.
Under Chapter 11, VarTec is authorized to continue providing telecommunications services to customers while restructuring and reorganizing company operations. The filing will cover all domestic business units of VarTec, including Excel Telecommunications, Inc.
Foreign subsidiaries of VarTec are not involved.
This Chapter 11 filing was necessary for many reasons. Our business has changed dramatically. To survive, we have to change with it. The industry changes have been almost revolutionary, and our businesses have not been able to generate sufficient cash flow and liquidity to continue operations without protection from the bankruptcy court. Other factors that affected our decision include the company's debt level, the regulatory climate and the competitive pressures in our reseller business.
These decisions were extremely difficult. The management team worked extremely hard to devise solutions for VarTec, and especially for the Excel IR team but ultimately VarTec could not continue to support Excel's marketing model. However, we continue to work on ways to assist the IRs in their further business endeavors.
Effective as of November 1, 2004, agreements between Excel Telecommunications ("Excel") and its Independent Representatives ("IRs") are subject to a motion for rejection. The effect of this motion, if granted, will be to limit claims of the Independent Representatives to only those claims they hold as of November 1, 2004.
After November 1, 2004, the Company is collaborating with the Shaklee Corporation ("Shaklee") to provide a viable alternative for Excel IRs. All IRs are encouraged to consider joining Shaklee through details, which will soon be made available. Excel has agreed to provide Shaklee with the services of people and systems support (like empowIR) for a transition period for those Excel IR's that join Shaklee. The Excel IRs that join Shaklee will retain their lineage and genealogy currently in the EmpowIR system so that they can retain their years of business building.
Although we will continue to sell services through agents, we have to look at alternative ways to sell our products and increase profitability. I know it will be a tough transition for some, but we can't compete the same old way because the industry is built on change and improvement.
Federal law prohibits payment for goods delivered and services performed before today's filing date. This includes any outstanding commissions. These unpaid claims are typically addressed in a plan of reorganization, which has yet to be developed. However, you may file a claim with the bankruptcy court.
